Terms and Conditions

These Terms and Conditions apply to all services provided by Ladybird Holding B.V., a private
limited liability company incorporated under Dutch law, with its registered office in the
Netherlands (“we,” “us,” or “our”).

1. Scope of Services
We provide consulting, advisory, facilitation, and related professional services to individuals and
organizations, including international clients. The scope, duration, and fees of services are agreed
upon in writing (proposal, agreement, or confirmation).

2. Professional Effort
Our services are provided on a best-effort basis. We do not guarantee specific outcomes, results,
or commercial success. Decisions based on our advice remain the responsibility of the client.

3. Client Responsibilities
Clients are responsible for:
• Providing accurate and complete information
• Making timely decisions
• Using our advice responsibly and in accordance with applicable laws
We are not liable for consequences arising from incomplete or incorrect information provided by
the client.

4. Fees and Payment
Fees, expenses, and payment terms are agreed in advance.
Unless otherwise stated:
• Invoices are payable within 14 days
• Fees are exclusive of VAT and other applicable taxes
• Late payments may incur statutory interest and collection costs

5. Confidentiality
Both parties agree to keep confidential all non-public information obtained during the
engagement, unless disclosure is required by law or agreed in writing.

6. Intellectual Property
All intellectual property rights relating to materials, methods, models, reports, and frameworks
developed by us remain our property, unless explicitly agreed otherwise in writing.
Clients receive a non-exclusive right to use deliverables for internal purposes.

7. Liability
Our liability is limited to direct damages caused by gross negligence or willful misconduct and
shall never exceed the fees paid for the relevant service.
We are not liable for indirect damages, including loss of profit, business interruption, or
consequential loss.

8. Termination
Either party may terminate an engagement in writing with reasonable notice.
Services performed up to the termination date remain payable.
9. International Engagements
For international assignments, Dutch law applies unless explicitly agreed otherwise. Clients are
responsible for compliance with local laws and regulations in their jurisdiction.
10. Force Majeure

We are not liable for delays or failure to perform due to circumstances beyond our reasonable
control, including but not limited to natural disasters, governmental actions, or technical failures.

11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Netherlands.
Any disputes shall be submitted exclusively to the competent court in the Netherlands.
